Acceptance of these Terms. These Terms of Service (the "Terms") form a binding agreement between FIDOX L.L.C-FZ, a company registered in Dubai, United Arab Emirates under License No. 2201305.01 and operator of the Agentix platform ("FIDOX", "Agentix", "we", "us"), and the customer entity identified on the applicable Order Form or in the payment record ("Customer", "you").
By signing an Order Form referencing these Terms, by ticking the acceptance checkbox during Stripe Checkout, by making any payment for the Service, or by accessing or using the Service, Customer confirms that it has read, understood, and agreed to be bound by these Terms in full.
If Customer does not agree to these Terms, Customer must not subscribe to, access, or use the Service. The person accepting these Terms on behalf of Customer represents that they have authority to bind Customer.
Use of the Service is also subject to the Agentix Privacy Policy available at https://www.agentixhub.ai/privacy-policy.
Definitions
In these Terms, the following terms shall have the meanings set out below:
- "Agentix" means the AI agent orchestration platform operated by FIDOX L.L.C-FZ for creating, deploying, orchestrating, and managing AI assistants, tools, integrations, workflows, and supported communication channels. References to "Agentix", "we", or "us" in these Terms mean FIDOX L.L.C-FZ as the operator of the Agentix platform.
- "AI Assistant" means the configured AI assistant deployed for Customer on the Agentix platform, as described in the applicable Order Form or Quote.
- "Effective Date" means the date Customer first accepts these Terms, signs an Order Form, or makes the first payment, whichever is earliest.
- "Order Form" means any quote, order form, or commercial document accepted by Customer that references these Terms.
- "Service" means the Agentix platform, the AI Assistant, and any related setup, configuration, and support services provided by Agentix under these Terms.
- "Subscription" means the recurring paid subscription described in the applicable Order Form.
- "Subscription Term" means the period during which a paid Subscription is active, starting on the Subscription start date and continuing monthly until terminated under Section 18.
Order Form and Order of Precedence
2.1 These Terms apply to all Order Forms accepted by Customer and to all use of the Service by Customer.
2.2 In case of any conflict between these Terms and an Order Form, these Terms shall prevail, except where the Order Form expressly states that a specific provision overrides these Terms and is accepted or approved in writing by an authorised representative of Agentix.
2.3 Any additional services, usage, top ups, integrations, or changes not covered by these Terms or the accepted Order Form shall require separate written approval or a separate quotation.
Scope of the Service
3.1 The AI Assistant supports Customer's lead engagement, customer interaction, and operational workflows. Typical capabilities may include:
- Responding to prospective customers across supported voice and chat interactions.
- Providing business information based on configured knowledge sources, such as locations, facilities, operating hours, and available services.
- Providing general product, membership, or package information based on approved data.
- Supporting lead qualification, lead capture, and appointment, visit, free trial, or tour booking workflows based on agreed business rules.
- Synchronising relevant lead, interaction, and appointment information with a CRM where configured.
- Supporting controlled escalation or handoff where configured.
3.2 The specific deployment, configuration, knowledge sources, integrations, and approved business rules for Customer are set out in the applicable Order Form.
3.3 The Service is provided as a configured service. Unless expressly stated otherwise in the Order Form, the Service does not include custom software development.
One Time Setup Services
4.1 Where an Order Form includes setup services, Agentix will provide one time setup and configuration services, which may include tenant creation on the Agentix platform, AI agent instructions setup, knowledge sources setup, integration configuration, CRM or MCP configuration, testing, and initial deployment support.
4.2 The one time setup fee is as stated in the Order Form, is invoiced once, and is 100 percent due upon invoice receipt.
4.3 Setup services are non recurring. The setup fee is non refundable once work has commenced.
4.4 Setup shall be considered completed upon initial deployment, handover, or confirmation that the AI Assistant is ready for production use, unless material issues are reported by Customer in writing within five (5) business days of such deployment.
Trial Period
5.1 Where a trial period is expressly offered to Customer, the duration, start date, end date, and trial usage allowance shall be set out in the Order Form or in a separate written communication from Agentix.
5.2 The AI Assistant may stop responding once the trial usage allowance is consumed, even before the trial end date.
5.3 Trial usage does not roll over to any paid Subscription period.
5.4 The trial is provided for evaluation and validation purposes only, on an "as is" basis, and does not amend the paid Subscription package.
5.5 The paid monthly Subscription starts on the start date set out in the Order Form, subject to successful payment activation.
Monthly Subscription
6.1 The Subscription package, monthly usage allowances, and monthly fee are as set out in the Order Form.
6.2 Voice usage is measured based on the duration of completed AI voice interactions. Chat usage is measured by conversations, where one chat conversation means one user engagement session handled by the AI Assistant within the configured conversation window.
6.3 The Subscription includes the AI services required to operate the included monthly usage allowances across supported voice and chat interactions.
6.4 The Subscription is billed 100 percent in advance on a monthly recurring basis and is subject to successful payment confirmation.
6.5 The Subscription fee is a fixed monthly package fee and is not based on individual channel usage or actual usage consumed. Included usage allowances define the maximum monthly usage included in the package and do not create any entitlement to refund, credit, discount, line item removal, or price reduction for unused usage or unused channels.
6.6 Agentix may change the Subscription fee by giving Customer at least thirty (30) days written notice by email or through the Stripe billing portal. Any pricing change shall take effect from the start of the next billing cycle following the notice period. Continued use of the Service or payment of the Subscription fee after the effective date of the change constitutes acceptance of the updated fee. If Customer does not accept the change, Customer's sole remedy is to cancel the Subscription before the new fee takes effect, in accordance with Section 18.
Usage Limits, Top Ups, and Service Stop
7.1 Subscription usage is governed by both the monthly Subscription period and the allocated monthly usage allowances.
7.2 Once the relevant monthly allowance is consumed, the affected AI Assistant channel may stop responding until additional usage is topped up or the allowance is renewed in the next billing cycle.
7.3 Unused voice minutes and chat conversations do not roll over to the next billing cycle.
7.4 Additional usage beyond the included monthly allowances requires the purchase of top up usage or an upgrade to a higher Subscription package. Top up pricing, validity, and availability may be quoted separately.
Billing, Payment, and Stripe
8.1 Any one time setup fee shall be invoiced by Agentix and paid by bank transfer or another payment method approved by Agentix.
8.2 Recurring Subscription billing is processed through Stripe or another online payment processor approved by Agentix. By providing payment details, Customer agrees to the applicable Stripe terms (available at stripe.com/legal) in addition to these Terms.
8.3 Customer shall add, maintain, and keep valid an approved payment method for recurring Subscription billing, and authorises Agentix and its payment processor to charge that payment method for Subscription fees, top ups, upgrades, failed payment recoveries, applicable taxes, and any other approved recurring or usage based charges.
8.4 Invoices, receipts, payment method management, and billing updates may be handled through the Stripe secure billing portal.
8.5 If any payment fails, is delayed, disputed, reversed, charged back, or not received when due, Agentix may suspend, restrict, or disable the Service without liability until all outstanding amounts are paid in full. Suspension shall not relieve Customer from its payment obligations.
8.6 Overdue amounts may bear interest at the lower of 1.5 percent per month or the maximum rate permitted by applicable UAE law, accruing from the due date until full payment is received.
8.7 Fees are exclusive of VAT. VAT and applicable taxes shall be applied in accordance with UAE regulations and shown on the applicable Order Form or invoice.
Third Party Communication Provider Charges
9.1 Third party communication provider charges, including WhatsApp and Meta charges, SMS charges, telecom charges, messaging platform fees, carrier fees, or any other external communication provider costs, are excluded from the Subscription fees and shall be paid directly by Customer to the relevant provider.
9.2 Agentix is not responsible for changes in third party provider charges, policies, approvals, account restrictions, account suspensions, or service availability.
Customer Responsibilities
10.1 Customer shall provide timely access to all information, approvals, credentials, systems, data, and third party accounts required for setup and operation of the Service, including CRM access and permissions, approved business content and rules, approved knowledge sources, approved messaging and telephony accounts, contact persons for business and technical validation, and timely testing, feedback, and acceptance confirmation.
10.2 Customer is solely responsible for ensuring that any data, content, pricing, offers, business rules, instructions, and materials provided to Agentix are accurate, complete, lawful, current, and authorised for use.
10.3 Customer is responsible for reviewing, testing, approving, and monitoring the AI Assistant's behaviour, including responses relating to pricing, offers, product or membership information, branch information, bookings, and customer facing communications.
10.4 Customer shall not provide or configure unlawful, misleading, infringing, defamatory, discriminatory, unsafe, or unauthorised content or instructions.
10.5 Customer is responsible for maintaining the security and access control of its own users, accounts, devices, passwords, API keys, CRM credentials, messaging accounts, telephony accounts, and connected third party systems.
10.6 Agentix shall not be responsible for errors, claims, losses, regulatory issues, customer complaints, or data issues arising from Customer provided data, Customer approved content, Customer instructions, Customer configurations, Customer systems, Customer users, or third party accounts controlled by Customer.
Third Party Platforms and Dependencies
11.1 The Service may depend on third party platforms, APIs, telecom providers, AI model providers, cloud services, CRM systems, messaging providers, and account approvals.
11.2 Agentix will use commercially reasonable efforts to configure and operate the Service, but is not responsible for outages, delays, policy restrictions, account suspensions, API changes, approval delays, or service limitations caused by third party providers.
11.3 Where a third party provider changes its pricing, technical requirements, policies, access rules, or service availability, Agentix may adjust configuration, usage handling, or commercial terms, subject to written notice where commercially reasonable.
Service Availability and Support
12.1 Agentix will use commercially reasonable efforts to maintain availability of the Service.
12.2 Support will be provided through agreed communication channels during Agentix's standard business hours unless otherwise agreed in writing.
12.3 Service availability may be affected by scheduled maintenance, emergency maintenance, third party outages, customer side configuration changes, or force majeure events.
Scope Changes
13.1 Customer may independently modify content, knowledge sources, configurations, prompts, and instructions within the standard capabilities of the Agentix platform where access is provided.
13.2 Changes that do not require technical development, system integration, custom engineering, or infrastructure modification shall not be considered scope changes.
13.3 Any changes requiring additional technical integration, custom workflows, new system or API integrations, infrastructure changes, security changes, performance impacting changes, or modifications beyond standard platform configuration shall be subject to a separate quotation, statement of work, or written approval.
Data Protection, Security, and Confidentiality
14.1 For the purposes of personal data processing under these Terms, Customer acts as the data controller and Agentix acts only as the data processor, unless otherwise required by applicable law. Customer determines the purposes and means of processing Customer data, including what data is provided to the Service, how the AI Assistant is configured, and how Customer uses outputs generated by the Service.
14.2 Customer is responsible for ensuring that it has all required rights, notices, consents, permissions, and legal bases to collect, process, store, share, transfer, and use personal data through the Service, including lead data, contact details, call information, chat messages, CRM data, appointment data, and any related prospect, member, or customer information.
14.3 Customer is responsible for providing all privacy notices, consent notices, call recording notices, messaging consent notices, marketing consent notices, and other disclosures required by applicable law or third party platform policies.
14.4 Agentix shall process Customer data only as reasonably necessary to provide, operate, maintain, secure, support, troubleshoot, bill, and improve the contracted Service, and in accordance with these Terms and Customer's lawful configuration of the Service.
14.5 Agentix shall not use Customer's personal data or confidential business content to train AI models that are made available to other customers.
14.6 Agentix shall implement commercially reasonable technical and organisational measures designed to protect Customer data against unauthorised access, accidental loss, misuse, alteration, or disclosure.
14.7 Customer acknowledges that no cloud service, AI service, telecom service, messaging service, CRM integration, or internet connected system can be guaranteed to be completely secure, uninterrupted, or error free.
14.8 Agentix may use third party service providers and subprocessors to provide the Service, including cloud hosting providers, AI model providers, AI cloud service providers, messaging providers, telephony providers, email and SMS providers, CRM systems, analytics systems, monitoring tools, support tools, and payment processors. Customer authorises Agentix to process and transfer Customer data to such providers as reasonably required to provide the Service, including providers located outside the UAE, subject to commercially reasonable safeguards and applicable legal requirements.
14.9 If Agentix becomes aware of a confirmed security incident involving unauthorised access to Customer data within Agentix-controlled systems, Agentix shall notify Customer without undue delay, and in any event within seventy two (72) hours of confirmation where feasible, providing reasonable information available at the time, subject to legal, security, and confidentiality restrictions.
14.10 Customer shall be responsible for notifying affected individuals, regulators, customers, or other third parties where such notification is required by applicable law, unless the incident is caused solely by Agentix and applicable law requires Agentix to notify directly.
14.11 Customer shall reasonably cooperate with Agentix in investigating, containing, mitigating, and remediating any actual or suspected security incident.
14.12 Upon termination or expiry of the Subscription, Agentix may retain Customer data for a limited period as required for backup, audit, legal, billing, dispute resolution, security, compliance, and operational purposes, after which data may be deleted or anonymised in accordance with Agentix's standard retention practices. Customer may request export of its data prior to termination by written notice to Agentix, subject to a reasonable export window and format agreed by the Parties.
14.13 Each Party shall keep confidential all non public business, technical, commercial, customer, security, operational, and financial information received from the other Party and shall not disclose such information except as required to perform these Terms, comply with law, enforce rights, or use approved professional advisers or service providers bound by confidentiality obligations. Confidentiality obligations shall survive termination.
14.14 To the maximum extent permitted by applicable law, Agentix shall have no liability for any security incident, data breach, data loss, unauthorised access, disclosure, privacy-related claim, or regulatory claim except to the extent directly and solely caused by Agentix's proven wilful misconduct within Agentix-controlled systems. Any such liability, if established, shall remain subject to the limitation of liability stated in these Terms.
Acceptable Use
15.1 Customer shall use the Service only for lawful business purposes.
15.2 Customer shall not use the Service for unlawful, abusive, fraudulent, harmful, misleading, or prohibited activities, including without limitation: spam or unsolicited mass messaging, content that violates applicable telecom or messaging platform policies (including WhatsApp Business policies), content involving regulated financial or medical advice without proper qualification, adult or sexually explicit content, content promoting violence, hatred, or discrimination, or any content prohibited under UAE law.
15.3 Agentix may suspend or restrict access where it reasonably believes that the Service is being misused, poses operational or legal risk, violates provider policies, or remains unpaid.
15.4 Customer represents and warrants that it is not, and its directors, officers, and beneficial owners are not, subject to any applicable sanctions, trade restrictions, or export control laws imposed by the UAE, United Nations, or other applicable jurisdictions, and that the Service will not be used in connection with any sanctioned individual, entity, country, or activity. Agentix may immediately suspend or terminate the Service without liability if it reasonably determines that Customer is in breach of this warranty.
AI Output, Customer Communications, and Business Decisions
16.1 Customer acknowledges that AI generated responses may be probabilistic and may occasionally be incomplete, inaccurate, delayed, inappropriate, or inconsistent despite reasonable configuration and testing.
16.2 The AI Assistant is intended to support business workflows and customer engagement. It is not a substitute for Customer's own business judgment, staff supervision, compliance review, or operational controls.
16.3 Customer is responsible for reviewing and approving all business critical information configured or supplied to the AI Assistant, including prices, packages, offers, eligibility rules, booking rules, branch information, service availability, and escalation rules.
16.4 Agentix shall not be responsible for claims, losses, customer complaints, refunds, discounts, missed sales, failed bookings, incorrect offers, inaccurate pricing, or operational issues arising from Customer provided information, Customer approved workflows, Customer configured rules, AI generated outputs, or Customer's failure to monitor the Service.
16.5 Agentix does not guarantee lead conversion, sales, bookings, attendance, revenue, customer satisfaction, or any specific commercial outcome.
Intellectual Property
17.1 The Agentix platform, including its protected software implementation, source code, user interface, content, documentation, templates, configurations, and related materials, is proprietary and protected by applicable intellectual property laws. Agentix is registered as an intellectual work / computer program with the UAE Ministry of Economy. FIDOX L.L.C-FZ operates the Agentix platform under applicable ownership, license, or authorization rights. All rights are reserved.
17.2 Customer retains ownership of its brand assets, business content, CRM data, lead data, and customer data.
17.3 Agentix grants Customer a limited, non exclusive, non transferable, non sublicensable right to use the Service during the active Subscription period, solely for Customer's internal business purposes and in accordance with these Terms. No other intellectual property rights are transferred under these Terms.
17.4 Agentix may identify Customer by name and logo as a customer in marketing materials and on the Agentix website, subject to Customer's reasonable brand guidelines notified to Agentix in writing.
17.5 Any feedback, suggestions, ideas, improvement requests, or recommendations provided by Customer regarding the Service shall be deemed non confidential and Agentix shall have the right to use, incorporate, and commercialise such feedback for any purpose without restriction, compensation, obligation, or attribution to Customer.
Term and Termination
18.1 These Terms commence on the Effective Date and continue while any Order Form, Subscription, or Service remains active.
18.2 The monthly Subscription starts on the date set out in the Order Form and renews monthly unless cancelled or terminated in accordance with these Terms.
18.3 Customer may cancel the monthly Subscription by giving written notice at least five (5) business days before the next renewal date, or by cancelling the Subscription through the Stripe billing portal. Any cancellation requested during an active paid billing period shall take effect at the end of that billing period. The Service shall remain available until the end of the paid billing period, subject to usage limits, payment status, and compliance with these Terms.
18.4 No refund, credit, or partial refund shall be provided for cancellation during an active paid billing period or for unused usage allowances.
18.5 Agentix may suspend or terminate access if Customer fails to pay, breaches these Terms, misuses the Service, or creates operational, legal, or security risk.
18.6 Fees already paid are non refundable.
18.7 Sections that by their nature should survive termination, including without limitation Sections 8 (Billing), 14 (Data Protection and Confidentiality), 17 (Intellectual Property), 19 (Limitation of Liability), 21 (Customer Indemnity), and 24 (Governing Law), shall survive termination of these Terms.
Limitation of Liability
19.1 To the maximum extent permitted by applicable law, Agentix shall not be liable for any indirect, incidental, consequential, special, punitive, exemplary, or similar damages, including loss of profits, loss of revenue, loss of goodwill, loss of anticipated savings, loss of data, loss of business opportunity, customer complaints, reputational damage, or business interruption.
19.2 To the maximum extent permitted by applicable law, the total aggregate liability of Agentix arising out of or in connection with these Terms, whether in contract, tort, negligence, breach of statutory duty, misrepresentation, indemnity, restitution, or otherwise, shall not exceed the total Subscription fees actually paid by Customer for the one (1) month immediately preceding the event giving rise to the claim.
19.3 The liability cap excludes VAT, pass through charges, top up charges, third party charges, and any amounts not actually received by Agentix.
19.4 Agentix shall not be liable for claims or losses arising from Customer provided data, content, instructions, business rules, or approvals; Customer systems, credentials, users, or Customer side security failures; third party platforms, APIs, AI model providers, telecom providers, messaging providers, CRM systems, cloud providers, payment processors, or internet service providers; AI generated outputs, hallucinations, incomplete responses, delayed responses, or incorrect responses; Customer's failure to monitor, test, validate, or supervise the AI Assistant; suspension caused by non payment, expired Subscription, exhausted usage allowance, or violation of these Terms; or force majeure events.
19.5 To the maximum extent permitted by applicable law, any liability arising from data protection, privacy, confidentiality, cybersecurity, unauthorised access, data breach, data loss, disclosure, service interruption, AI outputs, third party services, or integration failures shall be excluded, except to the extent directly and solely caused by Agentix's proven wilful misconduct within Agentix-controlled systems. Where liability cannot be legally excluded, such liability shall be subject to the liability cap and exclusions stated in these Terms.
19.6 Nothing in these Terms shall exclude or limit liability to the extent such exclusion or limitation is prohibited by applicable law.
19.7 No claim arising out of or in connection with these Terms or the Service may be brought after the end of the Subscription period during which the event giving rise to the claim occurred. Where no active Subscription was in place at the time of the relevant event, no claim may be brought in respect of that event. Customer expressly waives any right to bring a claim in respect of any period for which no active Subscription fees were paid to Agentix.
Warranties and Disclaimers
20.1 Agentix will provide the Service using commercially reasonable skill and care.
20.2 Except as expressly stated in these Terms, the Service is provided on an "as is" and "as available" basis.
20.3 Customer acknowledges that cloud services, AI services, internet connectivity, telecom networks, messaging platforms, CRM integrations, and third party systems may be subject to interruptions, errors, delays, security risks, compatibility limitations, or provider restrictions.
20.4 Customer acknowledges that AI generated responses may not always be accurate, complete, compliant, appropriate, or aligned with the desired outcome, and require ongoing monitoring, testing, and adjustment by Customer.
20.5 Agentix does not warrant or guarantee any lead conversion, booking completion, customer attendance, sales result, revenue generation, operational saving, or business outcome.
Customer Indemnity
21.1 Customer shall indemnify, defend, and hold harmless Agentix, FIDOX L.L.C-FZ, and their respective affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, losses, damages, liabilities, fines, penalties, costs, and expenses, including reasonable legal fees, arising out of or relating to Customer provided data, content, instructions, business rules, offers, pricing, or materials; Customer's breach of these Terms; Customer's failure to obtain required consents, permissions, notices, approvals, or lawful bases for personal data processing or customer communications; Customer's breach of applicable laws, regulations, or third party platform policies; Customer systems, credentials, users, configurations, or Customer approved third party integrations; and claims by Customer's prospects, members, customers, staff, or third parties arising from the use of the AI Assistant, except to the extent caused solely by Agentix's proven wilful misconduct.
21.2 Agentix shall promptly notify Customer of any claim for which indemnity is sought, provided that failure to notify shall not relieve Customer of its obligations except to the extent Customer is materially prejudiced by such failure.
Force Majeure
22.1 Agentix shall not be liable for delay, failure, suspension, interruption, or non performance caused by events outside its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, cyberattacks, internet outages, telecom outages, cloud provider outages, AI model provider outages, messaging provider outages, payment processor outages, government action, regulatory changes, third party platform restrictions, or other force majeure events affecting Agentix or its providers.
22.2 Agentix shall use commercially reasonable efforts to resume affected services when reasonably practicable.
Changes to These Terms
23.1 Agentix may update these Terms from time to time. The Terms in effect for a Subscription period are the Terms published at the time of initial acceptance or the applicable renewal, unless otherwise stated in an accepted Order Form.
23.2 Material changes that adversely affect Customer's rights will be notified to Customer by email or in writing at least thirty (30) days before they take effect. Continued use of the Service or payment of the Subscription fee after the effective date constitutes acceptance of the updated Terms.
23.3 If Customer does not accept a material change, Customer's sole remedy is to cancel the Subscription before the change takes effect, in accordance with Section 18.
Governing Law and Dispute Resolution
24.1 These Terms shall be governed by the laws of the United Arab Emirates as applicable in Dubai.
24.2 The Parties shall first attempt to resolve any dispute amicably through good faith discussions between authorised representatives.
24.3 If a dispute is not resolved amicably within thirty (30) days, the dispute shall be referred to the competent courts of Dubai, UAE, unless the Parties agree otherwise in writing.
General Provisions
25.1 Entire Agreement. These Terms, together with any applicable Order Form, constitute the entire agreement between the Parties and supersede all prior agreements, understandings, and communications, whether oral or written, relating to the subject matter.
25.2 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
25.3 No Waiver. Failure by either Party to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
25.4 Assignment. Customer may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Agentix. Agentix and FIDOX L.L.C-FZ may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
25.5 No Partnership. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between the Parties.
25.6 Third Party Rights. Except as expressly stated, no third party shall have any right to enforce any provision of these Terms.
25.7 Variation. Other than updates made by Agentix under Section 23, no variation of these Terms shall be effective unless agreed in writing by both Parties.
25.8 Notices. Notices to Agentix shall be sent to info@agentixhub.ai. Notices to Customer shall be sent to the email address on file in the Stripe billing portal or the Order Form. Notices by email shall be deemed received on the next business day after sending, absent a bounce.
25.9 Language. These Terms are drafted and executed in English. English is the binding and controlling language of these Terms. In the event of any inconsistency between an English version and any translation or interpretation in another language, the English version shall prevail.
